1. License Grant
MGMA (“Provider”) grants the end user (“User”) a non-exclusive, non-transferable, revocable license to access and use the Training and Educational Content (“Content”) solely for the User’s personal or internal professional use.
2. Permitted Use
The User may access and use the Content for their own learning, training, and professional development. The User may download or print materials for personal or internal business use only, if applicable.
3. Restrictions
The User may not share, distribute, sublicense, or otherwise provide access to the Content to any third party; sell, resell, lease, license, or commercially exploit the Content; post or upload the Content to public websites, shared drives, or learning platforms accessible by others; modify, copy, reproduce, or create derivative works from the Content without prior written permission; or remove/alter copyright, trademark, or proprietary notices.
4. Ownership
All Content, including but not limited to text, graphics, multimedia, course materials, and data, is and remains the exclusive property of the Provider and is protected by applicable intellectual property laws. This Agreement does not grant the User ownership rights.
5. Access & Accounts
The User is responsible for maintaining the confidentiality of their login credentials and may not share account access with others.
6. No Warranty
The Content is provided “as is” without warranties of any kind, whether express or implied. The Provider does not guarantee the accuracy, completeness, or applicability of the Content to any specific situation.
7. Limitation of Liability
To the fullest extent permitted by law, the Provider shall not be liable for any indirect, incidental, or consequential damages arising from the use of, or inability to use, the Content.
8. Termination
The Provider may suspend or terminate access to the Content at any time if the User violates this Agreement. Upon termination, the User must cease all use of the Content.
9. Governing Law
This Agreement shall be governed by the laws of the state of Colorado.
